GENERAL INSTRUCTIONS TO THE EXAMINEES:

  1. Candidates must write first his/her Roll No. on the question paper compulsorily.
  2. The shorthand outlines may be written by pencil but the transcription should not be hand-written but it should be typed.
  3. The shorthand note-book must be attached with the answer-book.
  4. Only the following punctuations should be dictated:
    • i) full stops
    • ii) signs of interrogation
    • iii) brackets.
  5. There should be an interval of five minutes after the dictation of each section. Two and a three-fourth hours will be allowed for transcription of the three sections of dictation (i.e. excluding the time for dictation and intervals).

Chartered Accountancy is one of the most revered professions in the [5] country and elsewhere. SECTION-C

RECONSTRUCTION OF COMPANY (UNDER SECTION 494-A)

The section gives complete power of a special type for sale of business in winding up. A company which is proposed to be, or in the course of being wound up, voluntarily, may sell its business to another company and the compensation received, whether in the form of shares, policies or other like interest in the transferee company, may be distributed among the shareholders of the company that is being wound up, or the members of the transferor company may receive any other benefit from transferee company. To give effect to it the following condition must exist.

  1. A- The transferor company should be in process of being wound up in a member's voluntary winding up.
  2. B- There should be a proposal to transfer or sell the whole or part of its business or property to another company, i.e., the transferee company.

Explanation: Section 494-A of the Companies Act provides for the reconstruction of a company during voluntary winding up. The transferor company (being wound up) can sell its business to a transferee company. The compensation (shares, policies, etc.) is distributed among shareholders of the transferor company. Two conditions must be satisfied: (1) the winding up must be a member's voluntary winding up, and (2) there must be a proposal to transfer the whole or part of the business or property to another company.

Section 494 & 505 – Powers and Duties in a Scheme of Arrangement (Winding Up)

C – The transferor company should approve, by a special resolution, the proposal to confer authority, whether general or particular, on the Liquidator to put the above scheme or arrangement into effect.

(Reference: Sections 491 & 505)

1. The liquidator usually gives notice to the shareholders of the transferor company as regards the number of shares to which they are entitled, the amount payable by them thereon, and the time within which they must apply for the shares. The sale or arrangement under this provision is binding on all the members whether they agree to it or not.

2. If any member does not vote in favour of the special resolution, he may address to the liquidator his dissent in writing even 7 days subsequent to the passing of the special resolution and require him:

  • To abstain from carrying the resolution into effect; or
  • To purchase his interest at a price to be determined by agreement or arbitration in the manner provided by section 494.

3. Except in so far as the committee of inspection, or if there is no such committee, the creditors in general meeting may sanction that the same may be continued (Sections 491 & 505).

4. Every invoice, order for goods, or business letter issued by or on behalf of the company or a liquidator or a receiver or manager, in which the company's name appears, must contain a statement that the company is being wound-up (Section 547).

Explanation: This section outlines the procedure for a scheme of arrangement during winding up. The transferor company must pass a special resolution authorizing the liquidator to implement the scheme. The liquidator then notifies shareholders about share entitlements and payment terms. Dissenting shareholders (who did not vote in favour) can object within 7 days after the resolution, requiring the liquidator to either stop the scheme or buy their interest at a price determined by agreement or arbitration (Section 494). Additionally, all official documents must clearly state that the company is being wound-up (Section 547).

5. As to whether a voluntary winding-up discharges the servants of the company, it would depend upon whether the business of the company has ceased or is being continued. Thus, it would depend on the facts of each case. A voluntary winding-up coupled with immediate cessation of the company's business has been held to operate as a dismissal of the company's servants (Reigate vs Union Mfg. Co. (98) [KB 592 (ch.)].

Explanation: The discharge of company servants in a voluntary winding-up is not automatic. It depends on whether the company's business has completely stopped or continues. If the winding-up is accompanied by an immediate halt to business, it is considered a dismissal of employees. The case of Reigate vs Union Mfg. Co. established this principle.

6. Suits and other legal proceedings against the company are not automatically stayed but an application may be made by the liquidator or any creditor to the court to determine any question arising in the winding-up.

Explanation: Unlike some other legal processes, winding-up does not automatically halt all lawsuits against the company. However, the liquidator or any creditor can apply to the court to resolve any issues that come up during the winding-up process. This allows for court intervention when needed.
